PAUL WALL SWEEPSTAKES
2005 OFFICIAL RULES

1. NO PURCHASE NECESSARY TO ENTER OR WIN. PURCHASE WILL NOT ENHANCE CHANCES OF WINNING.
The Paul Wall Sweepstakes (the “Sweepstakes”) begins at 12:01 pm Eastern Standard Time on August 1, 2005 through 11:59 p.m. Eastern Standard Time on August 29, 2005. Odds of winning depend on the number of eligible entries received.

2. ELIGIBILITY. Open and offered only to persons who are legal residents of the 50 United States or the District of Columbia, 13 years of age and older when Sweepstakes begins. Employees and directors of The Musicland Group, Inc. (“Sponsor”), Warner Music Group (“Sweepstakes Administrator”), and their parent entities, subsidiaries and affiliated companies, advertising, promotion, and production agencies, Web masters and Web suppliers and their respective IRS dependents, immediate family members and individuals residing in their same household are not eligible to participate. Void where prohibited or restricted and subject to all applicable federal, state, local and municipal laws and regulations. By participating, entrants agree to these Official Rules and the decisions of the Sweepstakes Administrator.

3. HOW TO ENTER: Enter in one of two ways: (1) automatically receive a Paul Wall collector’s card, while supplies last, when you reserve a copy of Paul Wall’s upcoming release “People’s Champ”, at participating Sam Goody stores during the Promotion Period. The Paul Wall collector’s card contains a website address (www.djpaulwall.com), where you can complete an official entry form to enter for a chance to win during the Promotion Period. The Sweepstakes Administrator’s computer will be the official clock for the Sweepstakes. OR (2) hand print your complete name, address, city, state, zip code, date of birth, daytime telephone number, and e-mail address (optional) on a 3”x5” card and mail in a first class stamped envelope to: Paul Wall Sweepstakes, c/o WEA 800 Washington Ave N #700 Minneapolis, MN 55401. All entries must be postmarked or sent electronically by 11:59pm EST on August 29, 2005 and be received by 11:59pm EST on September 5, 2005. Entries are limited to one per envelope. No photocopied, computer-generated facsimiles, mechanically reproduced, or mass entries permitted. All entries become the sole property of the Sweepstakes Administrator and will not be returned. You may enter multiple times by either method, but only one entry per person per day is permitted. Participants who enter more than one time per day will be disqualified. Sponsor and/or Sweepstakes Administrator, its parent companies, affiliates, subsidiaries, distributors, participating retailers and advertising and promotion agencies, and all of their respective officers, directors, shareholders, employees, agents and representatives (collectively, “Released Parties”) are not responsible for illegible, lost, late, delayed, deleted, damaged, incomplete, postage due, misdirected, undeliverable, mutilated, destroyed, or stolen, mail or official Web Page entries; or for the incorrect or inaccurate entry information whether caused by site users, tampering, hacking, theft or destruction, or unauthorized use of the applicable Web site, or by equipment or programming used in this Sweepstakes, printing, human processing or other error or omission; or for any error, interruption or unavailable network, server, satellite, Internet Service Provider (ISP), Web site, or other connections; or for miscommunications, failed computer, telephone or cable transmissions, lines, or technical failure; or for jumbled, scrambled, delayed, or misdirected transmissions, computer hardware or software malfunctions, failures or difficulties; or for any other errors of any kind, whether human, mechanical, electronic or network. All submitted materials become property of the Sweepstakes Administrator, and will not be returned. Entries are null and void and will be rejected if not obtained in accordance with these rules and through authorized, legitimate channels, or if they are from other games or sweepstakes, if they are copied, computer generated, or mechanically reproduced, or if any part of an entry is counterfeited, illegible, mutilated or tampered with in any way, or if they contain or reflect printing, typographical, mechanical, or other errors. Should any portion of the Sweepstakes be, in the Sweepstakes Administrator’s opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which corrupt or impair the administration, security, fairness or proper play, or submission of entries, the Sweepstakes Administrator reserves the right at its discretion to suspend or terminate the Sweepstakes, and select winners from all entries received prior to action taken or as otherwise deemed fair and appropriate by Sweepstakes Administrator.

4. DRAWING: A random drawing will be conducted on or about September 12, 2005, from among all eligible entries timely received by Sweepstakes Administrator, whose decisions are final and binding in all matters relating to this Sweepstakes. Winners will be notified by email, telephone or postal mail on or about September 19, 2005.

5. PRIZES/ODDS: One (1) Grand Prize: Custom-made Grill designed by Paul Wall. Approximate Retail Value (“ARV”) $2,000. Twenty-Five (25) First Prizes: Paul Wall T-shirts; ARV $15 each. ARV of all prizes $2,375. Odds of winning depend on the number of eligible entries received.
No more than the stated number of prizes will be awarded. In the event that production, printing or any other reasons cause more than the stated number of prizes set forth in these Official Rules to be available and/or claimed, Sweepstakes Administrator reserves the right to award only the stated number of prizes (previously not awarded) by random drawing among all legitimate eligible prize claimants.
Any other prize details will be at the sole discretion of the Sweepstakes Administrator. Expenses not stated in these Official Rules, including but not limited to, taxes on prizes and any other expense related to the acceptance of prizes, are solely the responsibility of the winner. Winners may not substitute, assign or transfer prizes, or redeem prizes for cash, but Sweepstakes Administrator reserves the right to substitute prize with a prize of equal or greater value should the advertised prize become unavailable. Prizes will not be fulfilled outside the United States. Should a prize be won by a minor in his/her jurisdiction of primary residence, such prize must be accepted on the minor’s behalf by the minor’s parent or legal guardian. In addition, all affidavits, releases and undertakings, set forth in these Official Rules must be executed and undertaken by the parent/legal guardian of the minor, both on behalf of themselves and the minor, or prize will be forfeited and awarded to an alternate winner.

6. CONDITIONS OF PARTICIPATION: Participants agree (a) to abide by these rules and all decisions of Sweepstakes Administrator, which shall be final in all respects relating to these Sweepstakes; (b) that the Released Parties will have no liability whatsoever for, and shall be held harmless by participants against any liability for any injuries, losses or damages of any kind to persons, including death, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in this Sweepstakes or any Sweepstakes related activity; or for any typographical or other error in the printing, offering or announcement of any prize via entry forms, posters or any other media; (c) except if winner is a resident of TN or otherwise where legally prohibited, to grant (and agree to confirm that grant in writing) permission for Sponsor and/or Sweepstakes Administrator and those acting under its authority to use his/her name, photograph, voice and/or likeness, for advertising, trade and/or publicity purposes without additional compensation in all media now known or hereafter discovered, worldwide and on the Internet, without notice, review or approval; (d) that Sponsor and/or Sweepstakes Administrator may collect the personal information submitted by you, and use the information pursuant to Sweepstakes Administrator’s privacy policy available on-line at www.djpaulwall.com and may contact you via email, mail and/or telephone; (e) that if documents required by Sweepstakes Administrator to be completed and returned, which may include an Affidavit of Eligibility, a Liability Release and, where lawful, a Publicity Release, are not returned within 14 days of being sent by Sweepstakes Administrator, or if any prize notification or prize is returned as non-deliverable on account of inaccurate or incomplete entry information or otherwise, or if winner is found to be ineligible or not in compliance with these Official Rules, such prize will be forfeited and awarded to an alternate winner; (f) the prizes are awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, express or implied, (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose) and (g) Sweepstakes Administrator may disqualify anyone from participating in the Sweepstakes or winning a prize if, in its sole discretion, it determines that such person is attempting to undermine, tamper with, or abuse any aspect of the Sweepstakes or Web site, by cheating, deception or other unfair playing practices, or intending to annoy, abuse, threaten or harass any other entrant or Sponsor’s and/or Sweepstake Administrator’s representatives, and Sweepstakes Administrator reserves the right to terminate such entrant’s eligibility. ANY ATTEMPT TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR AND/OR SWEEPSTAKE ADMINISTRATOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL, TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. If there is a dispute regarding the identity of an online entrant, the entry will be deemed submitted by the person in whose name the email account is registered. This sweepstakes is governed by the laws of the State of New York with venue in New York County, New York, and all claims must be resolved in the state or federal courts of New York County, New York.

7. WINNERS LIST/OFFICIAL RULES REQUEST: For names of winners, available after November 1, 2005 or a copy of these Official Rules, mail a self-addressed stamped envelope in a separate, first class stamped envelope to: Paul Wall Sweepstakes, Winners List or Official Rules Request (designate which), Warner Music Group, c/o WEA 800 Washington Ave N #700 Minneapolis, MN 55401. Requests must be received by November 1, 2005.
